Anglesey issues 46m warrants

Anglesey Mining plc has issued a total of 46,070,817 warrants to its majority shareholder Energold Minerals Inc, in return for a £350,000 investment, as agreed at the start of the month.

APPOINTMENTS

Drilling contractor Energold, owned by former Anglesey chairman John Kearney, holds 22.5% of voting rights in Anglesey.

The warrants are exchangeable for new ordinary shares, at no additional cost, on a one-for-one basis.

Proceeds will bolster the North Wales explorer’s finances and settle certain of its due payments.

The company has also convened an extraordinary general meeting, expected before 31 March 2026, to vote on a shares consolidation to support the shares issue in relation to the warrants.

As previously agreed, mining executives Brendan Cahill and Jim Williams have been appointed to the board of Anglesey as non-executive director and independent NED, respectively.

Mr Cahill is president, and a representative, of Energold and is therefore a non-independent director at Anglesey.

He is additionally a board member of explorer and miner Excellon Resources Inc. and was president and chief executive officer from 2012 to July 2022.

Mr Cahill is also a board member of zinc explorer in Ireland, Group Eleven Resources Ltd. and of First Nordic Metals Corp in Sweden.

He was previously vice president corporate development and corporate secretary with the Pelangio group of companies.

Mr Cahill began his career as an associate lawyer at Davies Ward Phillips & Vineberg LLP and is a member of the Law Society of Upper Canada.

Jim Williams has extensive exploration and mining experience across multiple jurisdictions as a professional geologist, company director and CEO.

In 2005, he co-founded Arian Silver Corp where was CEO and director until 2018.

Between 2022 and 2025, Mr Williams was chairman of VVV Resources Ltd.

He was previously an independent NED of companies including Kilo Goldmines and Grand Partage Resources, prior to which he was a director Sterling Mining Company and Kimberly Gold Mines.

Mr Williams also served as an expert witness for law firm, Mischon de Reya, and their client, Oryx Natural Resources, in a successful litigation case.

He has written for publications, including on behalf of the UK Government’s Department for International Development, a Diamond Policy Study in Sierra Leone.

Mr Williams holds academic qualifications from The Royal School of Mines, Imperial College, London.

His professional affiliations include Fellow of the Institute Of Mining, Metallurgy & Materials; Chartered Engineer; Chartered Geologist and a European-designate Engineer; and is a competent person and qualified person under the rules of the London and Toronto stock exchanges, respectively.
